1        General provisions

The following terms and conditions govern the relationship between Crypto Zug (hereinafter referred to as the “Operator”) and users of Crypto Zug’s services (hereinafter referred to as “Customers”).

1.1 Scope And Commencement of Obligations

These General Terms and Conditions apply to all attorney-client relationships relating to offers from the Operator, regardless of whether the order is placed online, in writing, by email or orally. The contractual relationship between the Operator and the Customer shall take effect immediately after the booking of the Service. Agreements made with customers regarding price schedules, terms and conditions, offer descriptions, etc. that may be inconsistent. It supersedes these Terms of Use.

1.2 How To Use Our Service

 Use of the Service is permitted only for business purposes. Customers must also carry out their activities within the limits set by law. In case of illegal use or abuse, the Operator has the right to discontinue the Service.

1.3 Relationships and Disclosures

When dealing with third parties, customers must avoid giving the impression that their actions are attributable to the operator. If the Operator has a legitimate interest to protect its own interests and those of its employees, associated third parties or companies, due to inaccurate or incomplete information or for other legitimate reasons, the Operator may refuse to act as a service. We reserve the right to disclose to third parties that we are Customer’s provider.

1.4 Background/Credit Checks

The operator will perform a background and credit check. He may rely on a positive credit check or provision of collateral to provide services.

1.5 Usage Limit

The Operator has the right to set individual credit limits and to suspend the service or make it dependent on the provision of collateral if the credit limit is reached.

1.6 Credit (Prepaid)

The Operator has the right to require advance payments and to convert the Customer Account to a credit basis and to rely on this for the provision of the Services. In the event of regular or temporary termination, all credit balances must be used and are non-refundable and non-transferable.

1.7 Rejection of Order

The Operator reserves the right to refuse any order without giving reasons.

1.8 Types of Communication

The Customer consents to electronic communications with the Operator by e-mail and declares that he is aware of the risks associated with this type of transmission.

2        Termination

2.1 Normal Termination

A three month notice period generally applies. Terminations can only be made by registered mail from the end of the year.

2.2 Temporary Dismissal

Temporary dismissal is also possible if there is a justifiable reason. Important reasons for temporary termination without notice may include:

  1. All or part of a due invoice is not paid despite a 10-day grace period.
  2. If the services provided to the Customer are used in violation of the contract.
  3. Insolvency proceedings are initiated against the customer.

The Operator reserves the right to terminate the agreement without notice for other valid reasons.

3        Scope of services

The scope of services is determined based on the valid tariff selected at the time of the order and can be accessed at www.cryptozug.ch.

3.1 Availability of The Services

The operator strives to ensure the provision of the services. The benchmark here is the current state of the art. However, the operator reserves the right to limit or suspend the service for the following reasons:

  1. Maintenance work or other necessary work.
  2. Faults or interruptions.
  3. All delivery points are occupied due to temporary overloading.
  4. Other reasons beyond the operator’s control.

The continued provision of the service is not guaranteed and is not a reason for termination or price reduction. Any disruption will be resolved as soon as possible within the operator’s capabilities. If extended restrictions or interruptions are anticipated, operators will notify customers immediately.

3.2 Accuracy and Completeness of Information

Operator is not responsible for incomplete or inaccurate information provided to Employees. We are also not responsible for information sent to customers that is not fully or correctly understood by our employees.

3.3 Confidentiality

All information learned by the Operator in connection with its activities will be treated as confidential to the extent appropriate under the circumstances and subject to any judicial order for publication/disclosure at the Customer’s express direction.

4        Customer Obligations

4.1 Customer Data Currency

During the attorney-client relationship, clients are responsible for keeping their data up to date. Even if you are absent for a long period of time, we will contact the operator appropriately.

4.2 Access to Information and Reliable Receipt of Information

Customers need to access their messages on a regular basis. Additionally, it is your sole responsibility to ensure that all devices used to receive messages are functional and capable of receiving messages.

5        Fees and Terms of Use

5.1 General Provisions

The customs duties valid at the time of ordering can be found at www.cryptozug.ch. Operator reserves the right to adjust fees at any time. If the price increases to the detriment of the customer, the customer has special termination rights. Otherwise, the tariff adjustment will be deemed approved within 10 days after the new tariff is announced. Unless otherwise stated, all price lists are in the respective national currency plus the applicable VAT.

5.2 Price Changes

Customers can change their rates at any time. The new rates will take effect from the 1st of the following month.

5.3 Pay-As-You-Go Pricing

In the case of a pay-as-you-go system, billing will be made from the monthly service provision basic fee and the pay-as-you-go service fee.

5.4 Issuing and Sending Invoices

Invoices are issued on a semester or yearly basis and include a base fee and usage-based fees according to the applicable fee schedule. Invoicing will be done via email. If you wish to have your invoice sent by mail, you will need to separately notify the operator. There is a charge of CHF 5.00 for mailing the invoice.

5.5 Payment Terms and Default

Payments are made without any fees or deductions, so operators can access the amount within the payment period specified on the invoice. If payment is not made on time, the operator will charge late payment interest of 5% per annum, plus a fee of CHF 5.00 per dunning and any costs (appointment of debt collection agency, address checks, debts, etc.) you have the right to. You will be charged execution fees, etc. due to payment delays. The Operator is also entitled to suspend provision of the Services until all outstanding invoices are paid in full.

5.6 No Offsets

Set-offs against claims are usually excluded.

6        Data Protection

6.1 Data Collection And Use 

The Operator collects, stores, and processes the data necessary for order processing, on the one hand, and the data necessary for recording and billing the services used, on the other hand.

6.2 Data Storage and Transmission 

Data will be stored and processed in accordance with data protection regulations. Data is entered and transmitted encrypted over an SSL line.

6.3 Deleting Data

You have the right to request irretrievable deletion of your data at any time. Unless otherwise required by law, removals will be subject to a fee.

7        Liability

7.1 Disclaimer of Liability

If the agreed services are not provided, are provided incompletely, or are provided late and it is proven that the Operator is at fault in this regard, the Operator’s liability shall be the refund of the appropriate amount of the fees paid. Limited. Liability for loss of profits, loss of orders, loss of data etc. and any consequential damages are expressly excluded. The liability of the Operator is expressly excluded if the Operator acts in accordance with the Customer’s instructions or fails to fulfill its obligations. This exclusion of liability does not apply if the Operator acted intentionally or grossly negligently.

7.2 Data Security

You acknowledge that the security of your data cannot be completely guaranteed. The liability of the Operator in connection with theft, improper use, deletion, alteration, or other damage to data is expressly excluded, unless the Operator has acted intentionally or grossly negligently. This is especially true if a third party or some type of malware misuses, damages, steals, or modifies your data without your permission.

8        Final Provision

8.1 Changes to Terms Of Use

The Operator may change these Terms of Use at any time without prior notice. You will be notified of changes to the Terms of Use by email. If the General Terms and Conditions are changed to the detriment of the Customer, the Customer has a special right to terminate the contract, otherwise the changes to the General Terms and Conditions must be made within 10 days after publication of the new General Terms and Conditions. deemed approved.

8.2 Separation Clause

If part or individual provisions of these General Terms and Conditions do not correspond, do not fully correspond, or no longer correspond to the current legal situation, the remaining parts will not be affected in their content and validity.

8.3 Governing Law and Jurisdiction

Only Swiss law applies. The jurisdiction is Zug ZG. However, the Operator also has the right to sue the Customer in the court having jurisdiction over the Customer’s registered office or any other court of competent jurisdiction.
